I’ve gotten some questions from viewers asking how they could buy a business with no money. There is a belief out there that if you can structure things correctly, it’s possible to buy a profitable business while using none of your own money. I’ve done deals where a buyer borrowed all the money to buy a business, but they did so by putting up some personal assets as collateral. I’ve done deals where a buyer gets a seller to essentially finance 100% of the purchase, but the buyer was using lots of their own money to improve the business with a short timeline to re-financing it. In both cases, we can hardly say that the buyers had ‘no money.’ They certainly had resources to help them make the deals happen. I made this video to explain the different scenarios that someone might conceivably buy a business with no money and the dangers for the buyers and sellers in each. Watch: https://youtu.be/NVTgDT7Cc2g In asset purchases, the danger for a buyer, even if there is no down-payment, is that there will be insufficient operating capital and you’d be in a cash flow crisis from day one. In share deals, if there is a net-positive operating capital balance, the buyer could fleece the company and run away with cash and the seller would be left with nothing. Who would put themselves in this kind of position other than a parent handing over a business to a child? The one opportunity for buyers to get their hands on a business with ‘no money’ is usually when there is negative equity. Watch the video to see my thoughts on this. Shadow stock has two different definitions. Most commonly it is used in reference to a synthetic class of stock of publicly traded companies. The “shadow stock” strips out the impact of broad market movements and allows holders to see returns based more closely on true corporate performance. In truth, not a lot of companies do this. The New York Stock Exchange (sometimes referred to as "the Big Board") provides a means for buyers and sellers to trade shares of stock in companies registered for public trading. The NYSE is open for trading Monday through Friday from 9:30 am -- 4:00 pm ET, with the exception of holidays declared by the Exchange in advance. The NYSE trades in a continuous auction format, where traders can execute stock transactions on behalf of investors. They will gather around the appropriate post where a specialist broker, who is employed by an NYSE member firm (that is, he/she is not an employee of the New York Stock Exchange), acts as an auctioneer in an open outcry auction market environment to bring buyers and sellers together and to manage the actual auction. They do on occasion (approximately 10% of the time) facilitate the trades by committing their own capital and as a matter of course disseminate information to the crowd that helps to bring buyers and sellers together. The auction process moved toward automation in 1995 through the use of wireless hand held computers (HHC). The system enabled traders to receive and execute orders electronically via wireless transmission. On September 25, 1995, NYSE member Michael Einersen, who designed and developed this system, executed 1000 shares of IBM through this HHC ending a 203 year process of paper transactions and ushering in an era of automated trading. As of January 24, 2007, all NYSE stocks can be traded via its electronic hybrid market (except for a small group of very high-priced stocks). Customers can now send orders for immediate electronic execution, or route orders to the floor for trade in the auction market. In the first three months of 2007, in excess of 82% of all order volume was delivered to the floor electronically.[23] NYSE works with US regulators like the SEC and CFTC to coordinate risk management measures in the electronic trading environment through the implementation of mechanisms like circuit breakers and liquidity replenishment points.[24] Until 2005, the right to directly trade shares on the exchange was conferred upon owners of the 1366 "seats". The term comes from the fact that up until the 1870s NYSE members sat in chairs to trade. In 1868, the number of seats was fixed at 533, and this number was increased several times over the years. In 1953, the number of seats was set at 1,366. These seats were a sought-after commodity as they conferred the ability to directly trade stock on the NYSE, and seat holders were commonly referred to as members of the NYSE. The Barnes family is the only known lineage to have five generations of NYSE members: Winthrop H. Barnes (admitted 1894), Richard W.P. Barnes (admitted 1926), Richard S. Barnes (admitted 1951), Robert H. Barnes (admitted 1972), Derek J. Barnes (admitted 2003). Seat prices varied widely over the years, generally falling during recessions and rising during economic expansions. The most expensive inflation-adjusted seat was sold in 1929 for $625,000, which, today, would be over six million dollars. In recent times, seats have sold for as high as $4 million in the late 1990s and as low as $1 million in 2001. In 2005, seat prices shot up to $3.25 million as the exchange entered into an agreement to merge with Archipelago and become a for-profit, publicly traded company. Seat owners received $500,000 in cash per seat and 77,000 shares of the newly formed corporation. The NYSE now sells one-year licenses to trade directly on the exchange. Licences for floor trading are available for $40,000 and a licence for bond trading is available for as little as $1,000 as of 2010.[25] Neither are resell-able, but may be transferable in during the change of ownership of a cooperation holding a trading licence. On February 15, 2011 NYSE and Deutsche Börse announced their merger to form a new company, as yet unnamed, wherein Deutsche Börse shareholders will have 60% ownership of the new entity, and NYSE Euronext shareholders will have 40%. On February 1, 2012, the European Commission blocked the merger of NYSE with Deutsche Börse, after commissioner Joaquin Almunia stated that the merger "would have led to a near-monopoly in European financial derivatives worldwide".[38] Instead, Deutsche Börse and NYSE will have to sell either their Eurex derivatives or LIFFE shares in order to not create a monopoly. On February 2, 2012, NYSE Euronext and Deutsche Börse agreed to scrap the merger.[39] In April 2011, IntercontinentalExchange (ICE), an American futures exchange, and NASDAQ OMX Group had together made an unsolicited proposal to buy NYSE Euronext for approximately US$11 billion, a deal in which NASDAQ would have taken control of the stock exchanges.[40] NYSE Euronext rejected this offer two times, but it was finally terminated after the United States Department of Justice indicated their intention to block the deal due to antitrust concerns. http://en.wikipedia.org/wiki/New_York_Stock_Exchange

Today’s video will show you how to open an M1 Finance account and get started with as little as $100 to start building wealth. ▶︎▶︎You can open your free account by using this link (aff): ✅https://jeffrose.com/mm1 One of the most requested videos that you have been want me to do is to review different platforms or investment applications. I am going to review the most requested, M1 Finance for you. Why is this one so highly requested? Well, you can buy stocks and ETFs and there are NO transactions costs. No trading fees, no account fees, and no costs involved when you make your first trade. To have an investment platform like M1 Finance that allows you to buy a stock with zero transaction costs, is huge! That’s why I want to share some of the benefits and the pros and cons. They are still a bit new, they started in 2016, but they already have over $100 Million in assets that they manage and are growing rapidly. What types of accounts can you open? You can open individual, joint, trust, or retirement accounts. You can do after tax with individual and joint accounts or as a retirement with Roth IRA. Other than having zero trading costs/fees, I like that you don’t have to have any money to open an account. You can’t make your first investment until you have at least $100 in that account. For a retirement account they want you to have at least $500 in a traditional or Roth IRA before you make your first investment. Either way, that is not a lot of money to get started. With M1 Finance, the don’t just sit on your cash. You are going to go ahead and make your selections or your trades. Once you have more than $10 sitting in cash they are going to place those trades for you. I set up an account with $1,000, I set up a few stocks and ETFs. When I deposited that $1,000 within two business days they set up those trades for me. I already have ownership in those stocks and ETFs. You’re money is going to work for you not just sit in cash making zero interest. So, what type of investments do they have? Any stock that is traded on the NASDAQ, NYSE or BATS - you will have access to all of those. All the big players. The other thing they offer is investment PIES. They are basically ETF portfolios that they have built for you. You can choose from aggressive to conservative. I think on average you are looking at 7 to 9 ETFs. Most of these are Vanguard ETFs. This really compares to Betterment or Wealthfront where if you are not comfortable picking, you can select one of these PIES. Where it is different - Betterment will ask questions so they can assess what risk level is right for you. With M1 Finance, you will have to select your own risk level. If you know if you are low risk or high risk you can choose the PIE that fits your needs. There are no fees to rebalance or change those PIEs when you want. What they do NOT have is the penny stocks, Mutual Funds or Cryptocurrencies. You are not buying options on this platform. You are not buying annuities. This niche is buying and selling individual stocks and ETFs. This is how they keep from charging you those fees. You can buy fractional shares of stocks through M1 Finance. You can’t do that with a lot of local or online platforms. If you only have $100 to get started, you can buy a fraction of a share of stock, like Amazon at $1,200/share. So how do they make their money? One of the most common ways is by lending securities. It’s very similar to the way banks make money. They also do margin loans. Other investment platforms do the same thing. How safe are they? They do not offer FDIC insurance (you will only get that with a bank). You WILL get SIPC insurance up to $500,000 and $250,000 of that can be cash. REITs, or real estate investment trusts, were created by Congress in 1960 to give all individuals the opportunity to benefit from investing in income-producing real estate. REITs allow anyone to own or finance properties the same way they invest in other industries, through the purchase of stock. In the same way shareholders benefit by owning stocks in other corporations, the stockholders of a REIT earn a share of the income produced through real estate investment, without actually having to go out and buy or finance property. This video provides some insight into what REITs are and how they work. The REIT industry has a diverse profile, which offers many benefits. REITs often are classified in one of two categories: Equity REITs or Mortgage REITs. Equity REITs own a wide range of property types including offices, shopping centers, hotels, apartments and much more. Equity REITs derive most of their revenue from rent on those properties. Mortgage REITs may finance both residential and commercial properties. Mortgage REITs get most of their revenue from interest earned on their investments in mortgages or mortgage backed securities. In addition, REITs may be publicly registered with the SEC and have their shares listed and traded on major stock exchanges, or they may be publicly registered with the SEC but not have their shares listed or traded on major stock exchanges, or they may be private companies (not registered with the SEC and not having their shares listed or traded on a stock exchange. Regardless of the type, REITs operate under a specific set of rules established by Congress. A REIT is an entity that: • is modeled after mutual funds • is treated by the Internal Revenue Code as a corporation • must be widely held by shareholders • must primarily own or finance real estate, and • must own its real estate with a longterm investment horizon. The IRS implements the REIT rules and oversees what qualifies as a REIT. The Internal Revenue Code requires a REIT to adhere to the following essential rules: at least 75 percent of the corporation's income must be earned from real estate as rent, real estate interest or from the sales of real estate assets; at least 75 percent of the corporation's assets must be real estate assets; and, at least 95 percent of income must be passive. REITs are required to distribute at least 90 percent of taxable income annually to shareholders as taxable dividends. In other words, a REIT cannot retain its earnings. Like a mutual fund, a REIT receives a dividends-paid deduction so no tax is paid at the entity level if 100 percent of income is distributed. REIT shareholders pay taxes on dividends at ordinary rates versus the lower qualified rate. Over time, REITs and the rules and regulations that govern them have evolved to meet the changing needs of the real estate industry and the broader economy. But throughout that process, REITs have remained true to the mission laid out by Congress in 1960: to make the benefits of income-producing real estate accessible to anyone and everyone. You have to open up a margin account when shorting stocks because you’re borrowing the stock rather than purchasing it. In order to maintain a margin account, you must have collateral to assure the broker that he’ll get his money back. Collateral is something (in this case money) that the borrower gives the lender as protection in case he fails to pay back what he owes. Initial margin: You must keep a minimum amount of your own money in the margin account when you sell the borrowed stock. The usual requirement is 150% of the value of the short sale. Maintenance margin: This is where the risk comes in. You must also maintain a minimum amount of money in the account depending on the current value of the stock you shorted As the price goes up, the maintenance margin requirement goes up, and you’ll need to add more and more money to your account. This is known as a margin call. Convertible Notes, Equity and Startup Funding Explained

If you're starting your first company, understanding stock, preferred stock, options, convertible notes and other fundraising instruments can be truly overwhelming. We didn't find a single video that covered this, so here we go. If you are an early-stage startup company in the tech space, the best way to raise capital is with a convertible note or a similar instrument. However, to understand how those work, we first need to understand how stock works. STOCK You are probably familiar with the term 'stock.' A company is divided into chunks, and each shareholder owns a certain percentage of the company, which gives control of company decisions, and a share of the profits. A PRICED ROUND: RAISING MONEY FOR STOCK The 'traditional' approach towards raising capital is with a priced round. Tech companies are different. Tech companies have tremendous scale potential and often fantastic margins. A software product or an app, for example, can realistically operate with 80%+ margins, and serve millions of customers around the world, with a minimal staff. Think of Uber, who raised $500,000 on their first round, and are now worth, well, billions of dollars. So the value of a startup is not related directly to their revenue, but to their potential. Some variables to take into account here are: - The market size, how many customers are there in the world. - The technology variable, is there a unique piece of tech that nobody else has, or that optimizes a process drastically? - Potential margins, how many employees are needed to serve 100,000 customers or 1,000,000 customers? When Instagram had 300 million users, their staff was 13 people. However, all these numbers are variables and theories, and nobody knows for sure. The valuation of a startup is defined by how much potential an investor sees in the business, how risky it is, and how much upside do they want in exchange for risking their money, just like a bet. These days, a reasonable number for a tech company like our theoretical FounderHub would be a $4,000,000 (pre-money) valuation. Again, assuming this is a high scale, high margin business. All of these decisions require negotiations, and lawyers, and signatures to be put in writing, and they can make the process take six months or more from 'agreeing to invest.' Since most early companies don't have six months, they often choose to go with a Convertible Note. A convertible note is like a loan, but instead of using an asset like a house for collateral, the company stock is the collateral. This means, obviously, that the investor also needs to believe in the business to invest, because the note intends to convert into stock. Like I said before, defining a company valuation is tough. Too many variables, too little data... so with a convertible note, the investor is saying: I'll give you the money for you to grow now. In a year or so we should have the data to support a priced, traditional round, so my investment will convert then, with the valuation and terms that the new investors define. So a convertible note is an investment that triggers, - Ideally, on a new round of funding. - Also ideally, if the company is acquired. - At a predefined deadline, often 18 or 24 months after the original investment. At this point, investors can negotiate a note extension, they can convert it at the Cap, or they can request a payback, again, if the company can afford it. Now, YCombinator and 500 Startups have both designed documents inspired by convertible notes, but simpler. And free. The KISS-A (Keep it simple security) and the SAFE (simple agreement for future equity) are simplified convertible note templates that you can use to raise money and skip lawyer fees. You can download it on our FounderHub site, and refer to our knowledge base for more details on completing it. They both work as a convertible note but reducing a lot of the paperwork requirements. Very common interview question, and you also need to know it for what you do on the job. 3 ways to fund a company, and to fund acquisitions of other companies: use cash on-hand, borrow the money from other entities (debt), or issue equity (stock) to new investors. But how does a buyer in an M&A deal decide whether it should use… 50% debt and 50% stock vs. 33% debt, 33% stock, and 33% cash vs. 50% cash and 50% debt vs…. And the list goes on. Easiest: Think about the "cost" of each method, start with the cheapest method, use the most of THAT method that you can, and then move to the next cheapest method, and continue like that. GENERALLY: Cheapest: Cash, since interest rates on cash are lower than interest rates on debt, and tend to be low in general. Next Cheapest: Debt, since it is still cheaper than equity and since interest paid on debt is tax-deductible. Most Expensive: Stock, since the Cost of Equity tends to exceed the Cost of Debt… in theory and in practice. To Compare Them: Look at the "After-Tax Yields"… for debt and cash, just take the Interest Rate and multiply by (1 - Buyer's Tax Rate). Stock: Take the buyer's Net Income and divide by its Equity Value (or "flip" its P / E multiple). SO: Always start with cash, use the most you can, then move to debt, use the most you can, and finish up with stock. Cash - How Much is "The Most You Can?" Easy: Company has minimal cash and can't use anything, or it has a huge cash balance and can use all of it. More Common Case: Look at the company's "minimum" cash balance and use the excess cash above that to fund the deal. EX: Company has $500 million in cash right now, but its minimum cash balance to keep operating is $200 million… So it can use $300 million of its cash to fund the deal. How to Determine: Can be tough, but sometimes companies disclose it… ...or you can look back at historical cash balances and make a guesstimate based on that (what was its lowest cash balance in past years?). Debt - How Much Can You Use? So let's say you've now used $300 million of cash to fund the deal… but it's a deal for $1 billion total. How much debt can you use to fund the remainder? $700 million? $300 million? $500 million? Easiest Method: Calculate the key credit stats and ratios for the combined company - for example: Total Debt / EBITDA Net Debt / EBITDA EBITDA / Interest Expense And see what amount of debt makes these look "reasonable", in line with historical figures and also figures for comparable companies. EX: Let's say that if the company uses $500 million of debt, its Debt / EBITDA is 4x. Historically, it has been around 2-3x, and no peer company is levered at more than 3.5x. If that's the case, we'd say that 3.5x - 4.0x is probably the "maximum" (whatever amount of debt that means). Here: We have the Debt / EBITDA and other ratios for the Men's Wearhouse / Jos. A. Bank peer companies. Stock - Now What? Often used as the "method of last resort" because: A) It tends to be the most expensive method for most companies. B) Most acquirers don't like giving up ownership and diluting existing shareholders unless absolutely necessary. So in this example, if we've used $300 million of cash and $500 million of debt, we're still not quite at $1 billion... need an extra $200 million, which we can get by issuing stock. # of Shares = $200 million / Buyer's Share Price. Technically, there's no real "limit," but it would be very odd for a company to give up more than, say, 50% ownership to another company… unless they're very close in size. Exceptions: Buyer has an exceptionally high P / E multiple (Amazon) - stock might be the cheapest! Buyer wants to do a tax-free deal (Google / YouTube) and it's much bigger anyway, so won't make a difference. Companies are similarly sized - stock might always be necessary because cash/debt are implausible (mergers of equals). Summary Which purchase method do you use? MOST relevant when companies are closer in size… doesn't make much difference when the buyer is 100x or 1000x bigger than the seller. Order: 1. Cash - Any excess cash above the company's minimum cash balance. 2. Debt - To the upper range of the Debt / EBITDA of comparables (and other metrics). 3. Stock - For any remaining funding that's required; ideally give up well under 50% ownership.

** Investing in the right finances for your real estate deals is one of the most important things you’ll do. Creating the right amount of debt, getting the best rates and determining cash flow on your deal is incredibly important. A house isn’t considered an investment in this discussion. A house doesn’t produce cash flow and is another way for the bank to hold your money hostage. On a house, you’ll have a down payment, mortgage insurance and interest rate based on your credit score and other factors. You have to prove that you can afford the debt because the bank doesn’t consider it an income producing investment. The opposite occurs when you invest to buy an income producing property. In any real estate deal, your most important partner isn’t your agent or the person you are working with on the deal. Your biggest partner on the deal is the bank. When investing in commercial real estate, you should look for a multi-family investment with a minimum of 16 units. That’s because it produces enough income to protect the investment. Many times a bank will offer an interest-only loan at a certain percentage above Treasury rates when financing these types of deals. You’ll need to compare rates to find the best one and length of term for your situation. Financing is extremely important. You need to know financing because it costs you money. A difference of a quarter of a percentage point in interest rates on a large deal can mean paying hundreds of thousands of dollars more a year. Another difference you’ll want to pay attention to is your down payment. Unlike buying a house, you won’t want to pay your principle down after the initial down payment. The deal becomes about how much money you can make from it. As the land value continues to appreciate and rents continue to increase cash keeps flowing. This flow covers the debt payment and gives you passive income. There is no value in paying more to bring the debt down. Because financing is so important in these types of deals, you should spend more time negotiating financing than the price. As a small investor, the deck is stacked against you to keep you there. Don’t fall for these money myths: -Buy a house. In reality, this ties up your money. -Invest in a retirement plan. You’re giving your money to someone else and have no control over it. -Buy Stocks. Gambling with your money. -Savings Account. A bank gives you no return on your money by having it sit in your account. -Small real estate investments. These types of investments aren’t big enough to create real money that can become indestructible. Break out and invest. Do the Deal: -Find the right deal -Negotiate the right price and win the deal -Finance the deal Take the time to study and learn.
